Legal Consultancy Services for INGO Transition to NPO/NGO or Pvt Company

1. Background

People in Need (PIN) is a non-governmental, non-profit, international organization founded in the Czech 1992. PIN arrived in Nepal as part of a humanitarian response to the April 25, 2015 earthquake. Since its inception in Nepal, PIN has had a strong role in designing and facilitating systemic solutions advocating for and addressing the needs of vulnerable populations affected by disasters including person categories who live in geographically remote areas of the country, historically marginalized ethnic groups, and those marginalized because of their age and/or gender identity. Currently, PIN Nepal is implementing programmes under three strategic pillars 1) Emergency response and recovery, 2) Climate resilience, and 3) Civil society and inclusive governance. PIN Nepal team works in and promotes strong partnerships with civil society, Government of Nepal, academia, private sector and other key stakeholders in Nepal. Together with them, PIN Nepal has become one of the pioneer organizations advancing programmes such as landslide disaster preparedness and anticipatory action, climate and flood resilient housing, durable local solutions, climate change modelling for more inclusive and efficient local decision-making, girls and inclusive education, waste management and circular economy approaches. PIN is strongly committed for safeguarding of children and vulnerable adults, including persons with disabilities, in line with its safeguarding framework and child protection policy.

Considering the current funding and legislative environment of NPL and the transition to middle income country there are some clear indications that the current set up as INGO might be a limitation in accessing new funding in the medium term. The legislation and process for INGOs to start new projects has always been complex and limiting. For example, a) an INGO cannot receive funding from a private company or a national NGO; b) the process for obtaining the Project Agreement has recently changed and doesn’t allow INGOs to work with national NGOs as implementing partner, but only with district registered NGOs, limiting the scope. C) Another limitation is the process for obtaining the Project Agreement, where the selection of partners needs to come via an open bid after the signature of the contract with the institutional donor. Finally, the rules force INGOs to focus on infrastructure projects only and Technical Assistance projects (HR heavy) are complicated to obtain approvals in a transparent and accountable way.

Private sector companies are regulated in a very different way and do not face this type of scrutiny and approval processes. At the same time there are evident opportunities for the private companies, in particular in the role of Technical Assistance and implementing firms for ADB, SDC and WB. PIN NPL is structured and has the technical team and experience (policy formulation, policy engagement, community engagement, GEDSI and Environmental analysis, Data collection to mention a few) to be able to access these funds. 

2. Objective of the Legal Consultancy

In line with People in Need Nepal's localisation ambitions, long-term sustainability objectives, and evolving regulatory environment, PIN seeks to explore potential legal structures that could support the future operation of its activities in Nepal.

The primary objective of this consultancy is to provide a comprehensive legal and regulatory assessment of the options available for the future legal establishment and operation of People in Need Nepal, including the potential transition from the current
