PROVISION OF LEGAL SERVICE FOR PEOPLE IN NEED (PIN) NEPAL

1. Background

People in Need (PIN) is an international non-governmental, non-profit organisation founded in the Czech Republic in 1992. PIN began its operations in Nepal following the devastating earthquake of April 2015 and has since worked in humanitarian assistance, climate resilience, education, governance, and inclusive development programmes across the country.

PIN is committed to promoting the rights and well-being of vulnerable and marginalised populations, including women and girls, persons with disabilities, Indigenous peoples, and communities living in remote and disaster-prone areas. The organisation is also committed to the highest standards of safeguarding, accountability, and legal compliance.

2. Purpose

The purpose of this Terms of Reference (ToR) is to engage a qualified legal firm or individual lawyer ("Legal Service Provider") to provide ongoing legal advice, representation, and legal support to People in Need (PIN) Nepal. The Legal Service Provider will ensure that PIN's operations remain compliant with the laws and regulations of Nepal while providing timely and practical legal advice across the organisation.

3. Scope of Services

The Legal Service Provider shall provide legal services on an as-needed basis, including but not limited to the following:

A. Legal Advice and Regulatory Compliance

  • Provide legal advice on matters relating to labour law, taxation, immigration, repatriation of international staff, NGO/INGO regulations, corporate matters, and other legal issues affecting PIN Nepal.
  • Advise on compliance with applicable laws, regulations, government directives, and regulatory requirements.
  • Monitor relevant legislative and regulatory developments and proactively inform PIN of any changes that may affect its operations, highlighting associated risks and opportunities.

B. Employment and Human Resources

  • Advise on employment-related matters, including recruitment, disciplinary procedures, grievance handling, redundancy, termination, retirement, employee benefits, and workplace disputes.
  • Review employment contracts, consultancy agreements, volunteer agreements, and other employment-related documents.
  • Review and advise on PIN Nepal's National Staff Policy and other internal HR policies to ensure compliance with Nepalese labour legislation.
  • Support mediation and resolution of employment-related disputes where appropriate.

C. Contracts and Legal Documents

  • On demand review, draft and provide legal advice on contracts, memoranda of understanding (MoUs), partnership agreements, lease agreements, service agreements, consultancy contracts, procurement contracts, and other legal documents, ensuring compliance with applicable Government of Nepal (GoN) laws, regulations, policies, and organizational requirements.
  • Advise on legal risks associated with contractual arrangements and recommend appropriate mitigation measures if requested.

D. Litigation and Legal Representation

  • Represent PIN Nepal before courts, arbitration bodies, government authorities, and other legal forums when formally authorised.
  • Prepare legal notices, petitions, pleadings, legal opinions, submissions, and other legal documentation required for litigation or dispute resolution.
  • Provide regular updates on the progress of ongoing legal proceedings and recommend appropriate courses of action.

E. Governance and Organisational Support

  • Provide legal advice on governance, organisational registration, regulatory compliance, and other institutional matters affecting PIN Nepal.
  • Support PIN in its engagement with relevant government authorities where legal advice or representation is required.

4. Service Delivery

The Legal Service Provider is expected to:

  • Provide timely, practical, and accurate legal advice.
  • Respond promptly to legal requests, particularly where urgent operational matters arise.
  • Attend meetings at PIN Nepal's office or participate virtually when requested.
  • Maintain strict confidentiality regarding all information obtained during the course of the assignment.
  • Declare any actual, potential, or perceived conflicts of interest that may affect the provision of services.

5. Deliverables

Depending on PIN's requirements, the Legal Service Provider shall deliver:

  • Written legal opinions and advice.
  • Reviews and comments on contracts and legal documents.
  • Draft legal notices, petitions, submissions, and other legal instruments.
  • Representation before courts, government authorities, or other legal forums where authorised.
  • Regular updates on ongoing legal cases and assignments.
  • Briefings on relevant changes in legislation, regulations, or government policies affecting PIN Nepal.

6. Duration

The Legal Service Provider shall provide services for an initial period of 12 months, with the possibility of extension based on performance and organisational needs.

Services shall be requested by authorised representatives of PIN Nepal on an as-needed basis throughout the contract period.

7. Reporting

The Legal Service Provider will report directly to the Country Director or a designated representative and will coordinate closely with the Head of Systems and Operations, Human Resources Manager, Finance manager and other relevant departments as required and requested by PIN. 

8. Qualifications

The Legal Service Provider shall demonstrate:

  • Registration and authorisation to practise law in Nepal.
  • Proven experience advising international NGOs, development organisations, or similar institutions.
  • Strong knowledge of Nepalese labour law, taxation, NGO/INGO regulations, contract law, and dispute resolution.
  • Experience representing organisations before courts and government authorities.
  • Excellent written and verbal communication skills in English and Nepali.
  • Ability to provide timely, practical, and solution-oriented legal advice.

9. Confidentiality and Professional Conduct

The Legal Service Provider shall maintain strict confidentiality of all information obtained through this engagement and shall not disclose any confidential information without prior written authorisation from PIN. All services shall be delivered in accordance with applicable professional ethical standards and the laws of Nepal.

10. Evaluation method (performance of evaluation criteria): 

Price (40%)

The evaluation result of this criterion equals the following formula: Price A/Price B * criteria weight. 

Price A = lowest price from all submitted offers; Price B = actual price offered by the tenderer.

Quality (60%)

The bids will be evaluated by a procurement committee considering the following criteria for a technical proposal. The total marks of the technical evaluation will be 60 whereas the weightage is given below. 

The evaluation result of this criterion equals to the following formula: Points B/Points A * criteria weight. Points A = highest points score from all; Points B = actual points score received from committee.

1. Financial and Payment Terms

PIN will provide the consultancy fees after the submission of the invoice. As per GON policy, tax shall be deducted from the contractual amount.

2. Application procedure

Interested applicants (individual advocates or law firms) should submit the following documents:

  • Profile of the law firm/institution or Curriculum Vitae (CV) of the individual advocate, including relevant experience in providing legal services. 
  • A cover letter describing how the applicant meets the required qualifications and their approach to delivering the services outlined in the Terms of Reference (ToR). 
  • Financial proposal with a detailed budget breakdown, including professional fees and any other applicable costs. 
  • A copy of the Company Registration Certificate (for law firms, where applicable). 
  • A copy of the VAT Registration Certificate and/or PAN Certificate (as applicable). 
  • A copy of the Tax Clearance Certificate for the last fiscal year (where applicable). 
  • A copy of a valid Advocate License issued by the Nepal Bar Council (mandatory for individual advocates and key personnel providing legal services). 
  • If applying as a law firm, details of the proposed legal team, including CVs and valid Advocate Licenses of the key personnel assigned to the assignment.
