for Statutory Audit of 

Deutsche Welthungerhilfe e.V. Nepal Country Office

1. Background

Deutsche Welthungerhilfe e. V. is one of the largest non-governmental organisations in Germany operating in the humanitarian assistance and development fields. It was established in 1962, as the German section of the “Freedom from Hunger Campaign”, one of the world’s first initiatives aimed at the eradication of hunger. Welthungerhilfe’s work is still dedicated to the following vision: All people have a right to a self-determined life in dignity and justice, free from hunger and poverty.

Welthungerhilfe (WHH) has been operational in Nepal since 2012, and it is currently managing different projects in sixteen districts under eight thematic areas (sectors): Humanitarian Actions, Agriculture, Climate Reliance and Natural Resource Management, Nutrition & Health, WASH, Economic Development, Civil Society Empowerment, ICT4D and others. WHH works partnership with civil society in Nepal to empower socially marginalized and economically poor citizens, to strengthen their resilience and to ensure their right to adequate food and nutrition through a systems thinking approach.

To ensure accountability, transparency, and compliance with applicable laws, donor requirements, and organizational policies, the organization intends to appoint an independent external audit firm to conduct statutory financial audits for three consecutive fiscal years: FY 2082/83, FY 2083/84, and FY 2084/85.

2. Purpose of the assignment

The Objective of the assignment is to obtain an independent opinion on whether the financial statements of the organization present fairly, in all material respects, its financial position, financial performance, and cash flows in accordance with applicable accounting standards, the laws of Nepal, and the organization's accounting policies.

The audit shall also provide assurance on compliance with statutory requirements and support in the renewal of the tax exemption certificate. Below is additional information for the audit of the Country Office:

The estimated total budget to be audited for each fiscal year is expected to range from EUR 0.8 million to EUR 0.9 million, covering the Country Office's expenditure.

Expenditures incurred by implementing partners are not subject to direct audit under this engagement. These expenditures are consolidated based on the audited financial reports and audit opinions submitted by the respective partners in accordance with the applicable grant agreements and reporting requirements.

3. Scope of assignment

  • Testing of systems and procedures of WHH CO
  • Verification/ Inspection of financial transactions and related supporting documents 
  • Confirmation of partner’s audit reports
  • Audit in accordance with the International Standards on Auditing (ISA) and Nepal Standards on Auditing (NSA)

4. Responsibilities of the auditor

  • To plan and conduct the audit in order to be able to submit the audit reports on time
  • To assign a qualified audit team for the audit
  • To organize and attend entry and exit meetings with WHH management and the finance team.
  • To obtain related information on the project, donor requirements and project partners
  • To support on the renewal of tax exemption certificate 
  • To support in preparing the audit reports.

5. Output and deliverables

Auditors shall submit the audit reports as per below audit timetable based on verification of at least 75% of the transactions in a number of vouchers and volume of the transactions:

a. Timetable of audit reports:

  • By 30 September 2026 for the period of 17th July 2025 to 16th July 2026
  • By 30 September 2027 for the period of 17th July 2026 to 16th July 2027
  • By 30 September 2026 for the period of 17th July 2027 to 16th July 2028

b. Audit reports include:

  • Auditor’s opinion in WHH’s structure and layout of the audit report 
  • Management letter on the audit

c. Confirmation of record of inventory

7. Application procedures

Qualified and interested individual Chartered Accountant or Chartered Accountancy Firm can submit their proposal (technical and financial) with (i) Certificate of Practice (CoP) with upto date renewal issued by ICAN, (ii) Value Added Tax (VAT) registration, and (iii) Tax clearance certificate for the latest fiscal year iv) Supplier declaration form via e-tender portal by: 17 July 2026: Public RFT - Terms of Reference for Statutory Audit of Deutsche Welthungerhilfe e.V. Tender Applications received with incomplete documents and later than the above-mentioned date will be disqualified.
